Atlas Terms of Use

1. About these Atlas Terms

These Atlas Terms of Use ("Atlas Terms") govern your access to and use of Atlas, the marketing-compliance screening service made available at atlas.licentium.ai and start.atlas.licentium.ai, including the hosted application, any Atlas API, and any white-labelled or embedded deployment of Atlas that Licentium expressly authorises in writing (together, "Atlas").

Atlas is provided by Licentium Ltd, a company registered in England and Wales with company number 17057360 and registered office at 128 City Road, London, EC1V 2NX ("Licentium", "we", "us").

These Atlas Terms supplement Licentium's general Terms of Use ("General Terms"). Where these Atlas Terms conflict with the General Terms in relation to Atlas, these Atlas Terms prevail for Atlas. All defined terms in the General Terms have the same meaning here unless otherwise stated.

By creating an Atlas account, subscribing, or using Atlas, you agree to these Atlas Terms. If you use Atlas on behalf of an organisation, you confirm you are authorised to bind that organisation, and "you" means that organisation.

2. What Atlas is, and what it is not

Atlas is an AI-powered, first-line screening tool for crypto and financial marketing material. It screens content you submit, flags potential issues against a compliance checklist Licentium maintains, scores risk, suggests rewrites, and keeps an internal record of the review.

Atlas does not provide, and using Atlas does not create:

An "Atlas screen passed" result means Atlas did not flag an issue on the checklist it applied. It is not a determination that your marketing complies with any law, and it does not remove your responsibility to obtain qualified review before you publish. Outputs may be incomplete, inaccurate, out of date, or unsuitable for your circumstances, and you are solely responsible for deciding what to publish.

3. Human review and escalation

Atlas may let you send a review to a lawyer of your choice, or to Licentium's regulatory team, for a separate human review. Any human review by Licentium is a separate service governed by a separate written terms that will identify the reviewer, their role, and, where applicable, their professional or regulatory status, the scope, fees, conflicts and confidentiality terms, complaint route, and liability terms. An Output does not replace any legal, compliance, or other human review that you obtain or are required to obtain before publication.

4. Your inputs and your rights in outputs

4.1 Your Inputs. "Inputs" means the marketing text, files, URLs, images, video, documents, and other content you submit to Atlas. You retain all rights in your Inputs. You are responsible for having the rights to submit them and for their lawfulness. Licentium may process Inputs only to provide, secure, administer, troubleshoot, and support Atlas and to comply with law. The licence in clause 10 of the General Terms to use Inputs to improve and develop the Services does not apply to Atlas Inputs unless a separate written arrangement states the permitted purpose, data-protection roles, and lawful basis.

4.2 Outputs. "Outputs" means the flags, risk scores, suggested rewrites, summaries, and records Atlas generates from your Inputs.

4.3 Rights grant in Outputs. Subject to your compliance with these Atlas Terms and payment of any applicable fees, Licentium grants you a non-exclusive, worldwide, royalty-free, perpetual right to use, edit, adapt, reproduce, publish, distribute, display, and submit the Outputs for your lawful business purposes, including publishing revised marketing. This grant operates as a contractual permission whether or not copyright or any other intellectual-property right subsists in a given Output.

4.4 What Licentium retains. Licentium retains all rights in Atlas itself, including its software, models, prompts, rule corpus, checklists, templates, and pre-existing materials. Nothing in clause 4.3 transfers those to you, and you may not extract, copy, resell, or reverse-engineer them. The internal-use-only and no-publication restrictions in the General Terms do not apply to Outputs you are permitted to publish under clause 4.3.

4.5 Outputs need review. Outputs are generated by AI, may not be unique, may be similar to outputs provided to others, and may require legal and factual review before use. You must not present an Output as legally approved or compliant.

5. Acceptable use and prohibited inputs

You must use Atlas lawfully and must not submit Inputs that are unlawful, infringing, or that you are not authorised to submit. You must not submit special-category personal data, payment-card data, or other highly sensitive data except as expressly supported. You must not use Atlas to develop a competing service, to bypass usage limits, or to place unlawful or fraudulent marketing into market.

6. Plans, fees, VAT, and renewals

6.1 Plans and fees. Atlas is offered on the plans described at checkout and on start.atlas.licentium.ai. The main characteristics, price, billing interval, included volume and content types, and any usage limits of your plan are shown before you pay.

6.2 VAT and taxes. Prices are shown in EUR unless a different currency is clearly stated at checkout or in an applicable order form. For consumers, the total price shown before purchase includes VAT and other applicable taxes. Where a price is displayed to a business customer exclusive of VAT, it is clearly labelled as excluding VAT, and the VAT amount and total amount payable are shown at checkout before payment. The tax treatment and total amount payable for your purchase depend on your billing details, customer status and applicable law and are shown before payment.

6.3 Renewal. Paid plans renew automatically at the then-current price for the same interval until you cancel. You may cancel at any time inside Atlas; cancellation takes effect at the end of the current paid period, after which the account moves to the Free plan. We will give you reasonable written advance notice of a renewal and of any price change, together with instructions for cancellation.

6.4 Usage limits. Any monthly review limit, deep-review sub-limit, per-country coverage, storage limit, or country lock that applies to your plan is stated before purchase. The applicable limits, review counts, content types, jurisdiction coverage, seat allowances and other plan features are those displayed in Atlas and at checkout for your selected plan and confirmed in your order confirmation.

7. Refunds and cancellation rights

7.1 14-day refund. If you are a new paying subscriber and change your mind, you may request a refund within 14 days of your first payment for that subscription, and we will refund the subscription fee for the then-current period. This commercial refund right must be stated the same way on the pricing page, at checkout, and in the Atlas Refund and Cancellation Policy ("Refund Policy") at https://www.licentium.io/refund-cancellation-policy. Licentium will honour this commercial refund right. We may reject a request under this commercial right only where we reasonably determine that it is fraudulent or forms part of repeated refund-and-resubscribe activity intended to obtain continued access without payment; this does not affect any mandatory statutory right.

7.2 Statutory cancellation. Nothing in this clause affects a consumer's statutory cancellation rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. To the extent an Atlas purchase is a service contract, Licentium will not begin performance during the cancellation period unless the consumer makes an express request. If the consumer cancels after that request and before full performance, Licentium may charge only the proportionate amount permitted by regulation 36; the cancellation right is lost only after full performance following the required acknowledgement. To the extent an Atlas purchase supplies digital content not on a tangible medium, Licentium will not begin supply during the cancellation period unless the consumer gives express consent and acknowledges that the cancellation right will be lost when supply begins, as regulation 37 requires. At checkout, Licentium will apply the classification required by applicable law, obtain each applicable request, consent and acknowledgement separately, and provide the contract confirmation and required information by email or another durable medium.

8. Your statutory rights (consumers)

If you are a consumer, you have statutory rights that these Atlas Terms do not exclude or limit, including that services are supplied with reasonable care and skill (Consumer Rights Act 2015, s.49) and that information we give you which you take into account can be binding (s.50). We do not exclude the duty of reasonable care and skill, and our terms are intended to be fair and transparent (ss.62 and 68). Nothing in these Atlas Terms affects your non-excludable statutory rights.

9. Changes to plans and terms

We may change Atlas, a plan, or these Atlas Terms. Material changes operate prospectively. Unless a change is required by law or is reasonably necessary to address security, fraud, abuse, or service integrity, a material reduction in paid features or entitlements will take effect no earlier than the next renewal. We will give advance notice identifying the change. If a material reduction must take effect during a prepaid period, we will obtain your express acceptance or allow cancellation and provide a pro-rated refund or credit for the affected unused period. A website posting alone does not amend a prepaid plan.

10. Disclaimers

Atlas is provided "as is" and "as available". To the extent permitted by law, and subject to clauses 8 and 11, we disclaim implied warranties in relation to Atlas. We do not warrant that Outputs are accurate, complete, current, or fit for a particular regulatory purpose, or that use of Atlas ensures compliance with any law.

11. Limitation of liability

11.1 Not excluded. Nothing in these Atlas Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, a consumer's non-excludable statutory rights, or any liability that cannot lawfully be limited.

11.2 Cap. Subject to clause 11.1, Licentium's total aggregate liability arising out of or in connection with Atlas and these Atlas Terms in any 12-month period will not exceed the greater of (a) EUR 100 and (b) the total fees you paid to Licentium for Atlas in the 12 months before the event giving rise to the claim.

11.3 Statutory controls (business users). Any exclusion or limitation applicable to a business user operates only to the extent that it satisfies the reasonableness requirement under the Unfair Contract Terms Act 1977 and section 3 of the Misrepresentation Act 1967.

11.4 Consumers. If you are a consumer, clause 11.2 applies only so far as it is fair under the Consumer Rights Act 2015; your statutory remedies are unaffected.

12. Indemnity

You will indemnify Licentium against third-party claims, and reasonable legal costs, to the extent caused by (a) your Inputs being unlawful or infringing, (b) your breach of clause 5 (acceptable use), or (c) your prohibited misuse of Atlas or an Output. This indemnity is subject to Licentium (i) giving you prompt notice of the claim, (ii) letting you control the defence and settlement (not settling in a way that admits your fault or imposes non-indemnified obligations without your consent, not to be unreasonably withheld), and (iii) providing reasonable cooperation. The indemnity does not apply to loss caused by Licentium's own breach, negligence, unlawful processing, or a defect in the Atlas rule engine or Outputs.

13. Pre-contract statements

Nothing in these Atlas Terms excludes or restricts liability for a misrepresentation except to the extent permitted by section 3 of the Misrepresentation Act 1967. Clause 8 preserves consumers' rights under section 50 of the Consumer Rights Act 2015.

14. API and white-label deployments

Any Atlas API access or white-label / embedded deployment is available only under a separate signed schedule covering embedding, branding, permitted end users, sublicensing, usage limits, support, availability, change control, rule updates, security, confidentiality, data processing, intellectual property, suspension, termination, and liability. The standard Atlas access licence does not authorise a customer-facing deployment. Clause 4.3 continues to govern your use of Outputs.

15. Suspension and termination

We may suspend or terminate access for non-payment, material breach, unlawful use, or where required by law, using proportionate measures and, where practicable, notice and an opportunity to cure. On termination your right to use Atlas ends; clauses 4.3 (rights already granted in Outputs you generated), 11, 12, and 16 survive.

16. Governing law, entire agreement, contact

16.1 Governing law. These Atlas Terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction, subject to any mandatory consumer-protection rights in your country of residence.

16.2 Entire agreement. These Atlas Terms, the General Terms (as supplemented here), the applicable order or checkout confirmation, the Refund Policy, and any signed schedule are the entire agreement for Atlas. The Privacy Policy is a transparency notice and does not form part of the contract except to the extent that a signed agreement expressly incorporates a specific commitment from it. This clause does not exclude liability for fraud, does not override section 50 of the Consumer Rights Act 2015, and does not affect a misrepresentation claim beyond what clause 11.3 lawfully permits.
